THESE TERMS AND CONDITIONS OF USE MAY CHANGE FROM TIME TO TIME THUS ITS IMPORTANT THAT YOU KEEP YOURSELVES CURRENT WITH THE SEEMYAPPS TERMS & CONDITIONS. BY USING SEEMYAPPS WEBSITE AND PRODUCTS/SERVICES YOU AKNOWLEDGE YOUR RESPONSIBILITIES AND ACCEPT THE FOLLOWING TERMS AND CONDITIONS SET FORTH BELOW. IF ANY OF THE FOLLOWING TERMS ARE NOT RESPECTED AND ACCEPTED FOR ANY REASON THEN YOU SHOULD NOT USE THE SERVICES OF SEEMYAPPS.



SEEMYAPPS ("See My Apps") provides all businesses and organizations with a variety of products and services such as:

• • SEEMYAPPS – Organization’s set-up; structure and employees


• • SEEMYMEMBERS – Organization’s end-users (clients) database; permitted activations and registrations


• • SEEMYPROGRAMS – Organization’s value-added programs; points, gift $, referrals, coupons and etc.


• • SEEMYADVERTISING – Organization’s personalized marketing communications channels; mailings/emails/sms/smartphones.


• • SEEMYPAGES – Organization’s customized web pages; illustrating developed Services through SEEMYPASS


• • SEEMYPOS – Organization’s POS, Point of Sale hardware integrated with SEEMYAPPS & Services


• • SEEMYPASS – Organization’s B2C (Business to Consumer) communication portal.

In addition to the above products and services, SEEMYAPPS is constantly evolving; offering new and additional products and services complimentary to the above products and services. SEEMYAPPS, SEEMYMEMBERS, SEEMYPROGRAMS, SEEMYADVERTISING, SEEMYPAGES, SEEMYPOS, SEEMYPASS and any new additional service added to your framework and/or extension (s) are referred to in these terms and conditions as the “Services”.



It is a condition of allowing you access to the Services that under no circumstances, including but not limited to negligence, will SEEMYAPPS be liable for any loss or damage, direct, indirect, special or consequential (including without limitation, any lost profits, business/organization interruption, loss of programs or other data arising out of or in connection with the use or performance of information, software, documents, provision of or failure to provide services, or information available from the Services, even if SEEMYAPPS was expressly advised of the possibility of such damages.



SEEMYAPPS’s Services cannot be used for falsifying any organization/business, sending unsolicited communications (letters/emails/sms/smartphone apps and etc.) and/or for the hosting of illegal and/or prohibited images and content. Any conduct of such nature will risk your accounts connectivity, operability and you may be held liable and penalized accordingly.



The following are the terms and conditions of use and access to SEEMYAPPS and to its services. By accepting this agreement, you acknowledge having read, understood and will be 100% compliant to all of the terms and conditions mentioned in this agreement.

All information brought to you on this website is the property of SEEMYAPPS, its affiliates, partners, licensors and clients is protected and authorized by Canadian copyright law and all other governing laws set to protect present contents within their respective countries. For example; SEEMYAPPS and SEEMYAPPS logo are registered trademarks of SEEMYAPPS under the applicable laws of Canada and other countries. If a product and/or service name or logo has not been identified within this page it does not mean that the property rights are not protected.



2. Services – Terms and Conditions

The Services are provided subject to these Terms and Conditions of Use, as they may be changed by SEEMYAPPS at any time; including without limitation to the SEEMYAPPS’s Private Policy, and any other type of conditions mentioned throughout any of the services. SEEMYAPPS will keep the Terms and Conditions posted and updated through seemyapps.com and reserves the right to modify, discontinue and revise any or all aspects of the Services in its sole discretion. The services are available only to users who are authorized persons of organization, who have the legal right to bind organization to such Services and/or are a minimum 18 years of age. If you are not any of these then you cannot obtain the Services for any organization. However if you need to use the Services as an employee then you need to obtain the invitation from your current employer to gain access as an employee.



Participation to the Services of SEEMYAPPS is contingent on a valid registration; all information provided must be accurate and complete. The consent of each organizations administrator is required on all Services; i.e.: SEEMYMEMBERS, SEEMYPROGRAMS, SEEMYADVERTISING and any other service that will come to market. Remote access to your desktop may be required from time to time from any merchant service employee to optimally help you troubleshoot the Services. Users who provide such access waive any claims that may arise from such access, including without limitation any disruption or damage caused by SEEMYAPPS and/or employee.



You agree and acknowledge that SEEMYAPPS is not responsible or liable for the actions of any administrative user, its delegated users and/or any third party engagement for use of the Services. Use of such users and third party users is at the sole discretion and risk of the administrative user. SEEMYAPPS may terminate at any time any third party access to the Services at its sole discretion with or without notice with no liability to SEEMYAPPS, Organization and third party.



3. You Acknowledge and Agree to the following:

• •SEEMYAPPS will be subject to fees once the administrator has accepted the use of features that are chargeable either daily/weekly/monthly to the account. Details are disclosed within section 4; 4.1.


• •SEEMYMEMBERS will be subject to either daily/weekly/monthly fees; subject to the administrator’s acceptance and use of features that are chargeable to the account. Details are disclosed within section 4; 4.2.


• •SEEMYPROGRAMS will be subject to either daily/weekly/monthly fees; subject to the administrator’s acceptance and use of features that are chargeable to the account. Details are disclosed within section 4; 4.3.


• •SEEMYADVERTISING will be subject to either daily/weekly/monthly fees; subject to the administrator’s acceptance and use of features that are chargeable to the account. Details are disclosed within section 4; 4.4.


• •SEEMYPAGES will be subject to either daily/weekly/monthly fees; subject to the administrator’s acceptance and use of features that are chargeable to the account. Details are disclosed within section 4; 4.5.


• •SEEMYPOS will be subject to either daily/weekly/monthly fees; subject to the administrator’s acceptance and use of features that are chargeable to the account. Details are disclosed within section 4; 4.6.


• •SEEMYPASS will be subject to either daily/weekly/monthly fees; subject to the administrator’s acceptance and use of features that are chargeable to the account. Details are disclosed within section 4; 4.7.

The Services cannot be used to misrepresent any organization.

The Services may be used to compile a valid database of clients (members); through established activation and registration methods your Organization may permit consumers to become privileged members. A member may only be communicated to by Organization only if the Organization has obtained the members consent through the Services established activation and registration methods. Old imported databases from other frameworks will need to be validated through the same process.



The Services can only be used for the benefit of the organization, a registered company operating legally within its country. The Organization may use the Services to create incentive and payment program platforms (such as points, visits, dollars, referrals, coupons, gift $, memberships, layaways, loans and etc.). You agree that the use of any of these programs requires the consent of your participating member despite having received a successful registration process. The programs set-ups are configurable by you and the permitted Users of your Organization. You are responsible for all of the programs you put into production. You agree to review all of the configurable features made available to help you set-up your desirable programs and to honor the programs set of rules once you have implemented them into a production mode with all of your participating members.



The Services cannot be used for “spam”, unsolicited email. You acknowledge that you cannot send any email (s) to any recipient (s) if you have not received their consent. The Services permit Organizations to communicate within a permissive environment. Importation of databases is granted only to Organizations whom have previously received recipients consent for permissive communications. You hereby agree that you shall not use any third party mailing list within the Services. The Services cannot be used to illustrate content and images that infringe on the property rights owned by others within their respective governing country. Derogatory content and/or X-rated images are strictly prohibited.



You agree that not all email and/or SMS messages sent through use of the Services will be received by recipients. All messages sent through the use of the Services will need to contain an un-subscription message, a step-by-step methodology to remove recipients name and coordinates from the present mailing list and member database.



The Services obliges all users to abide to the regulations set-out by the CAN-SPAM Act of 2003. The administrator of any Organization is liable for all actions conducted through all of the appointed users within set Organization. Any user (s) found not respecting these regulations may be bound to criminal activity and penalty charges of which will reflect upon the organization, its brands, products and/or services.

Within all email communications users acknowledge to abide to the following:

• • The “from” line needs to identify the Organization’s name and/or brand name


• • The “subject” line needs to best describe the email contents


• • The complete “mailing address” of the Organization and/or brand needs to be identified on the footer


• • The “Content” needs to relevant to Organization’s/brands campaigns. No misrepresentation will be tolerated.


• • The emails must be compliant to the Privacy Policy regulations set out by SEEMYAPPS and SEEMYPASS


• • No disruption of any type to the Services offered by SEEMYAPPS and SEEMYPASS through any channel of connectivity.


• • Third Parties whom have been granted usage are hereby considered as users. Third Parties/Users are expected to respect these terms regardless of any other agreement they may already have in place with Organization / brands.

4. Fees and Payments per Service;



4.1 Fees for SEEMYAPPS.

SEEMYAPPS typically was created to be offered as a free service. However due to popular demand additional features such as SMS communications which requires users consent been added to SEEMYAPPS as a paid feature. Additional paid features may be added at any time and from time to time by SEEMYAPPS. The fees are based on your Organization’s performance levels (i.e.: sms communications) from previous billing cycle.




4.2 Fees for SEEMYMEMBERS.

SEEMYMEMBERS offers a limited free trial version, once your Organization has completed the free trial period and/or your Organization has exceeded the free number of activations/subscriptions, your Organization will need to pay for its monthly subscription fees in accordance with the Fee Structure your Organization was provided with and any other related fees that your users have accepted within SEEMYMEMBERS. The fees are based on the number of members your Organization has successfully activated, registered, validated and remain active within your Organization’s account during the previous month. Each unique (email address or mobile number) identification will count as one member. Your Organization will need to commit to a pre-authorized debit payment structure (corporate bank, credit card and/or paypal account) as per your agreed payment cycle. If for any reason your Organization misses its payment cycle then access to SEEMYMEMBERS will be blocked until a debit payment has been authorized. Your account will be debited after the end of closing billing cycle, even if there is no activity within your SEEMYMEMBERS account.



4.3 Fees for the SEEMYPROGRAMS.

SEEMYPROGRAMS offers a limited free trial version, once your Organization has completed the free trial period and/or your Organization has exceeded the free number of transactions, your Organization will need to pay for its monthly transaction fees in accordance with the Fee Structure your Organization was provided with and any other related fees that your users have accepted within SEEMYPROGRAMS. In addition, if your Organization has chosen to transfer funds for points and gift$ from any affiliated store to Organization and vice versa then it will be required to sign-up to the SEEMYPROGRAMS electronic-funds transfer structure. The fees are based on the number of transactions your Organization/location has conducted at each POS terminal within the current payment cycle period. Your Organization/location will need to commit to a pre-authorized debit payment structure (corporate bank, credit card and/or paypal account) as per your agreed payment cycle. If for any reason your Organization/location misses its payment cycle then access to SEEMYPROGRAMS will be blocked to owing party until a payment for past due amount (s) has been rendered. Your account will be debited after the end of closing billing cycle.



4.4 Fees for the SEEMYADVERTISING.

SEEMYADVERTISING offers a limited free trial version, once your Organization has completed the free trial period and/or your Organization has exceeded the free number of emails, your Organization will be need to pay for its monthly advertising fees in accordance with the Fee Structure your Organization was provided with and any other related fees that your users have accepted within SEEMYADVERTISING. In addition, if your Organization has chosen to direct-mail, conduct SMS communications, trigger smart-phone notifications and/or has accumulated more than 10,000 members in its account it will be required to pre-pay all communication fees it wishes to execute. The fees are based on the number of communications your Organization wishes to execute and/or has executed within the current payment cycle period. Your Organization will need to commit to a pre-authorized debit payment structure (corporate bank, credit card and/or paypal account) as per your agreed payment cycle. If for any reason your Organization misses its payment cycle then access to SEEMYADVERTISING will be blocked until a debit payment has been authorized. Your account will be debited after the end of closing billing cycle.



4.5 Fees for the SEEMYPAGES.

SEEMYPAGES offers a limited number of free pages, once your Organization has chosen to participate within any one of the following SEEMYMEMBERS and SEEMYPROGRAMS they will obtain respective webpages to publish and market their programs to potential clients through SEEMYPASS. If your Organization needs to exceed the number of free applicable pages, then your Organization will be need to pay for its monthly fees in accordance with the Fee Structure your Organization was provided with and any other related fees that your users have accepted within SEEMYPAGES. The fees are based on the number of pages your Organization wishes to publish and/or host within the current payment cycle period. Your Organization will need to commit to a pre-authorized debit payment structure (corporate bank, credit card and/or paypal account) as per your agreed payment cycle. If for any reason your Organization misses its payment cycle then access to SEEMYPAGES will be blocked until a debit payment has been authorized. Your account will be debited after the end of closing billing cycle.



4.6 Fees for the SEEMYPOS.

SEEMYPOS offers a free online version. If your Organization wishes to obtain integrated solutions from any one of the certified hardware units provided, your Organization will need to pay for the hardware’s monthly usage and/or purchase from SEEMYPOS and/or third party provider. Additional transactional fees may apply per device chosen in accordance with the Fee Structure which your Organization was provided with and any other related fees that your users have accepted within SEEMYPOS. If your Organization has chosen to undertake an integrated solution then it understands that an integrated solution is limited to certain applications offered by the Services and any other limits that the third party hardware manufacturer may provide. The fees are based on C.O.D. terms for delivery and/or monthly rentals if your Organization wishes to rent the terminals of which will be reflected within the current payment cycle period. Your Organization will need to commit to a pre-authorized debit payment structure (corporate bank, credit card and/or paypal account) as per your agreed payment cycle. If for any reason your Organization misses its payment cycle then access to SEEMYPOS will be blocked until a debit payment has been authorized. Your account will be debited after the end of closing billing cycle.



4.7 Fees for the SEEMYPASS.

SEEMYPASS is a free online Business to Consumer (B2C) portal, permitting members to access their profile settings, select their preferences, receive status updates and various offers that your Organizations wishes to send and/or engage members participation. However if the SEEMYPASS member wishes to obtain additional services from any one of the convenient fees that your Organization wishes to provide, then the SEEMYPASS member will be need to pay for such fees in accordance to with the Fee Structure that the SEEMYPASS member was provided with and any other related fees that the member has accepted. The fees are based on a per request basis and are payable upon execution. SEEMYPASS members will have the ability to pay by credit card (Amex, VISA and/or MC) and/or PayPal accounts.



4.8 Fees for Hosting Images and/or Consulting Services.

If selected by you and/or any authorized user within the Organization the right to undertake such Services, your Organization will be billed for the associated Services such as hosting plans and/or help requested by a consultant in accordance with the Fee Schedule4.



4.9 Fees & Discounts.

Your Organization is responsible to review the Fee Structures within each one of its executable Services at all times and the administrator needs to make themselves aware of all fees charged included discounts offered by SEEMYAPPS and it’s Services. The Fee Structures are subject to change at any time in SEEMYAPPS’s sole discretion. SEEMYAPPS is not obliged in any but will use best efforts to notify of any changes within set Fee Structures to any User from Organizations.



4.10 Invoices and Payments;

The Province and Local Sales Tax will be applied on all invoices except where your Organization conducts business outside of the current billing country. Payment for Services will be made through a pre-authorized credit card, business chequing and/or paypal account acceptable by SEEMYAPPS. Fees are payable in CA dollars for Canadian Organizations and US dollars for USA Organizations. If you have provided your preferred payment method, you hereby authorize SEEMYAPPS to charge your account for such amounts on a regular basis depending on the payment cycle your Organization has previously chosen until your account has been terminated. If SEEMYAPPS is for any reason unable to effect automatic payment via your preferred payment set-up, SEEMYAPPS will attempt to notify you via email and your SEEMYAPPS account will be disabled until payment is received. Amounts paid for the Services are not refundable. SEEMYAPPS is required to collect and remit sales tax from its customers located in Province and local jurisdictions where software delivered as a service is taxable and where SEEMYAPPS maintains a physical presence. SEEMYAPPS determines your local taxing jurisdiction based on the billing address that your Organization is identified.



4.11 Collection of Fees.

If your Organization chooses to collect fees related to the Services from members, Brands, Regions, Groups, Locations and/or other Organizations, you are responsible for the collection and administration of such fees. You may elect to process payments through PayPal®, which SEEMYAPPS makes available for your use. Your use of the PayPal service is subject to PayPal's applicable terms and conditions of use. SEEMYAPPS is not affiliated with PayPal, is not an agent of PayPal and is not responsible for the actions or performance of PayPal. By using the PayPal service, you expressly relieve SEEMYAPPS from any liability arising from your use of the PayPal service. SEEMYAPPS does not hold your funds or those of your Services at any time. You are responsible for any refunds associated with your Services.



5. Email, SMS and Mobile APP Permission Practices, Image Hosting and Prohibited Content



5.1 Member Opt Out.

Every Email, SMS and Mobile APP communication sent through the Services must contain an "unsubscribe" link that allows members to remove themselves from your mailing list and a link to the then current Privacy Policy. Each such link must remain operational and must be in satisfactory to SEEMYAPPS. You agree that you will comply with a removal option in any of your forms of communications. Furthermore any member or recipient wishing to unsubscribe, will automatically be unsubscribed throughout the Services. You and the Organization’s Users hereby acknowledge the CAN-SPAM Act of 2003 and will respect their terms for as long as the Services of SEEMYAPPS are active.



5.2 Permissive Communications.

You and your Users agree to use only Permission Based Lists in connection with the use of the Services. If you or your Users have used the SEEMYMEMBERS feature that allows the Organization to register members and they have not provided their consent to receive any communications on the behalf of the Organization / brand, you agree not to send them any form of communications. You and your Users agree to all terms as stipulated within the CAN-SPAM Act of 2003 and understand that no attempt to communicate to unsolicited members will be attempted. Some of the communications your Organization sends out may be considered as spam, in the event your Organization’s level of communication spam exceeds the industry standards then SEEMYAPPS has the right to terminate your Organization’s use of the Services. SEEMYAPPS reserves the right at its sole discretion to set the level of tolerance for Organizations who have exceeded the norms and cannot disclose the members who have complained to any party in respect to the member’s Privacy Policy set out by SEEMYMEMBERS + SEEMYPASS.



5.3 Source Provider of Communications.

Your Organization acknowledges that all communications are to disclose the provider, SEEMYAPPS for Organization’s internal communications and SEEMYPASS for Organization’s external communications with registered members.



5.4 Images & Content.

The images and content your Organization may choose to host with SEEMYAPPS belongs strictly to your Organization’s property and responsibility which are to be used strictly with the Services



5.5 Prohibited Content.

SEEMYAPPS forbids the use of the Services by any User or Organization that illustrates, retails and/or sells any products or services found to be within the pornographic industry, gambling industry, sexual pleasures, illegal within governing country and exploiting minors. Violent, aggressive, invasive, racism, threats, harassment, defamatory and ferocious content and/or any other content used in an inappropriate manner for and/or against governments, organizations, groups or individuals is Prohibited.
The spreading of any type of virus amongst the Internet and its users is Prohibited. The postage of unauthorized content /images and the attempt to network marketing businesses, pyramid schemes is strictly Prohibited.



5.6 Right to Disable Access or Remove Content.

SEEMYAPPS may at its sole discretion disable your access to the Services or remove any content, without refund, if SEEMYAPPS believes that the Organization’s Users have breached any of the terms listed above or this Agreement.


6. Responsibilities and Restrictions



6.1 You and your organization have no rights to software(s) of the Services.

This Agreement provides access to the Services offered via SEEMYAPPS and does not constitute any other rights to the software(s) by this Agreement. The Services are made available solely for use by authorized users. Any reproduction or redistribution of the Services not in accordance with this Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. You agree directly or indirectly not to copy, discover, reuse and/or recompile the source code, structure, ideas, intelligence, functionality, data and content in any respect through the Services and/or SEEMYAPPS; ignore any respective obligations for the use of the Services in all respects. Breech of these obligations will be grounds for account termination and violators will be prosecuted to the maximum extent possible.



6.2 Permitted Use of the Services.

The Services shall be used strictly for your Organization (s) only; they cannot be used for the benefit of any third party. You agree not to disturb the normal operation of the Services, not to infringe the integrity of this the Services by hacking, altering the information contained in the Services, not to prevent or limit access to the Services to other users, or otherwise.



6.3 Compliance with Laws.

You shall use the Services only in respect to these terms and conditions, the CAN-SPAM Act of 2003 and any applicable local and international laws. SEEMYAPPS reserves the right to suspend the use of any of the Services and/or remove any content that SEEMYAPPS believes may be in breach of the terms and conditions.



6.4 Your Information.

The information provided to SEEMYAPPS and its Services by you and/or your Organization’s users shall be shared strictly amongst all permitted parties. Your information may be accessed by merchant service representatives to guide any one of the permitted users. SEEMYAPPS and its Services will not provide any of your information to 3rd parties unless; as required by law, your account was terminated due to illegal activity and/or not respecting these terms and conditions and/or you or any of your permitted users have expressly requested to cooperate in affiliation with a 3rd party. SEEMYAPPS and its Services will never use, rent or sale your member’s data to anyone unless you or any of your permitted users have expressly requested it. You and your Organization are the owners of and are responsible for the member’s data.



7. Termination.

You are responsible for terminating your account and SEEMYAPPS and its Services cannot be held responsible for any charges and fees your account incurs as a result of your failure to properly terminate your account. If you choose to terminate current services you will be responsible to honor current fees for the following 180 days after termination. SEEMYAPPS has the right to terminate, disable and/or inactivate your account at any time with and without cause. SEEMYAPPS shall have no liability to you of such action. SEEMYAPPS will hold all data after termination for a period of 60 days and allow you to access your information for your own safe keeping, including unsubscribed members. You acknowledge that you are responsible to maintain and honor the unsubscribe list of members following termination as per the CAN-SPAM Act of 2003. If for any reason your account is inactive for a consecutive 180 days SEEMYAPPS and its Services reserves the right to permanently delete your account and members data. In good faith SEEMYAPPS will attempt to contact you and its permitted users by email prior to permanently removing and of your Organizations accumulated data.



8. Indemnification and Liability.

You hereby acknowledge to hold harmless SEEMYAPPS, its Services, any affiliated partner and/or employees against any damages, losses, liabilities, settlements and expenses in connection with any claim or action that arises from or relates to your use of the SEEMYAPPS and its Services. Under no circumstance shall SEEMYAPPS be liable to you and/or other person for any money and/or damages that may occur; you and your Organizations users acknowledge that you are 100% responsible for the use and content posted through SEEMYAPPS and its Services. You agree that SEEMYAPPS has the right to pursue for damages in the event you and/or your Organizations users do not comply and adhere to this Agreement, terms and conditions. In the event SEEMYAPPS is obliged to communicate and/or participate with a 3rd party law enforcement that is related to your use of SEEMYAPPS and/or its Services then you and your Organization will be liable to reimburse SEEMYAPPS for all associated costs.



9. Disclaimer.

Use of the Services is at your sole risk and responsibility. SEEMYAPPS does not guarantee that the Services will be error free, uninterrupted and/or produce specific results. The use of SEEMYAPPS and its Services are provided as constructed; “AS IS”, “AS AVAILABLE” and without warranties of any kind to facilitate Organizations wishing to undertake such services offer by SEEMYAPPS. Your comments and suggestions are welcome to help create or repair features and functions, all reasonable suggestions will be taken into consideration but nothing guarantees an immediate correction and/or implementation within the construction of SEEMYAPPS and its Services.



10. Authorized Users.

You hereby guarantee that you are an authorized officer of the Organization that you represent. The Administrative user(s) of the Organization need to be director (s), officer(s) or controlling shareholder(s) of the Organization for use of SEEMYAPPS and its Services. Administrative user (s) who does not have the right to represent the Organizations will be identified as unauthorized users and merits grounds for account dismissal. If in the course of this Agreement any user who has been identified to be connected with money laundering schemes, any type of criminal activity and/or warfare and/or is acting on the behalf of a person who’s been identified as such are unauthorized to use SEEMYAPPS and its Services of which their accounts will be dismissed and terminated; Unauthorized users shall notify SEEMYAPPS within 24 hours of such assessment and SEEMYAPPS shall bare no liability to them except for concluding all outstanding obligations.



11. Third-Party Services.

SEEMYAPPS and its Services may contain links to third party offerings. SEEMYAPPS and its Services do not accept any responsibility for use of third party services. 13. Monitoring Communications.

In order to serve you better SEEMYAPPS may at its own discretion; from time to time monitor and/or record any communications conducted between you and/or your Organizations users and SEEMYAPPS representatives. The monitoring and recording of communications will help improve quality control, merchant services and training of representatives.



14. Copyright Notice. If you find content, data and/or graphics published by one of SEEMYAPPS and/or its Services clients and believe it to be interfering with your property and/or copyright you may contact SEEMYAPPS immediately and provide the following information:

• A. Your identification: Name, address, telephone and email address and confirmation of ownership or authorized representative on the behalf of the owner.


• B. Identification of the whereabouts of the content, data and/or graphics that you believe has interfered with your property.


• C. Proof of your property. Describe your property and provide as much details as possible regarding authenticity.


• D. A declaration and an explanation of why you have found a non-authorized use of content, data and/or graphics.


• E. A signature on your declaration to authenticate the request.

15. Security.

Usernames and Passwords are meant to be used to secure the access to your accounts data, hence the reasons why SEEMYAPPS has invested a lot of resources in providing the highest possible level of security for you and your Organization’s Users to adopt and maintain from unauthorized hackers. All users are responsible for the security of their accounts. SEEMYAPPS will only communicate with authorized users; primarily through the verification of username and passwords, security NIP numbers and any other type of information the SEEMYAPPS representative feels is pertinent to validate account. SEEMYAPPS will not be responsible for users who misuse and miss distribute access information to persons whom try to access SEEMYAPPS and/or its Services. 16. Forward-Looking Statements.

You recognize that SEEMYAPPS and its Services contain "forward-looking statements"; are statements that are contingent on a number of various possibilities that SEEMYAPPS does not control and cannot be accounted for. 17. Mutual Understanding.

SEEMYAPPS and you agree that this Agreement is the complete mutual understanding of the parties and replaces and terminates all previous agreements and any expressed waivers and/or modifications must be agreed upon in writing and signed by both parties.



18. This Agreement does not imply in any way a partnership, joint venture, or employment. You and/or any other registered users do not have any right to bind SEEMYAPPS in any respect whatsoever.



19. This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec. All legal actions in connection to this Agreement shall be brought in the provincial courts located in Montreal, Quebec.



20. The parties agree that this Agreement and all documents, notices and judicial proceedings entered into, given or instituted pursuant hereto, shall be in the English language. Les parties reconnaissent avoir convenu que la présente convention ainsi que tous documents, avis et procédures judiciaires qui pourront être exécutés, données ou intentés à la suite de la présente convention ou ayant un rapport, direct ou indirect, avec la présente convention soient rédigés en anglais.
